TERMS & CONDITIONS

Among other activities, &you's services enable coordination and communication with licensed health care providers. &you does not provide medical services and does not replace your relationship with your physician. No physician–patient relationship is created between you and &you, or between you and any employee, contractor, or representative of &you. All medical services are provided exclusively by independent, licensed medical professionals through our contracted Medical Partners.

1. GENERAL

1.1. This document is an electronic record and does not require any physical or digital signatures. It governs your use of the website andyou.ph (the “Platform”), which is owned and operated by RX (the “Company,” “We,” “Us,” “Our”).

1.2. By accessing or using our Platform, you (“User,” “You,” “Your”) agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use the Platform. We reserve the right to modify these terms at any time.

1.3. If you are accessing these Terms on behalf of a company or legal entity, you represent that you have the authority to bind that entity. In such cases, “you” and “your” apply to both the individual user and the entity.

1.4. You will be subject to additional guidelines, policies, or rules that apply to specific services provided by the Platform, which are hereby incorporated by reference.

1.5. You have a duty to check these Terms periodically. Continued use of the Platform after updates constitutes your acceptance of such amendments.

2. OUR SERVICES & SCOPE

2.1. &you is a digital health platform. We facilitate telehealth consultations and connect Users with independent, licensed medical groups and pharmacies in the Philippines (“Medical Partners”).

2.2. &you is not a medical clinic or pharmacy. We do not practice medicine and do not prescribe, stock, or dispense medications. All medical care and prescriptions are provided solely by independent licensed Medical Professionals.

2.3. &you is LegitScript-certified as a health care merchant, which means our operations meet international compliance standards for safety, transparency, and legality in telehealth and online pharmacy practices.

2.4. The Services constitute a form of telehealth, which involves the delivery of health care services using electronic communications between a Provider and a patient who are not in the same physical location. Telehealth may be used for diagnosis, treatment, follow-up, and patient education, and may include, but is not limited to:

• Electronic transmission of medical records, photo images, personal health information, or other data between a patient and a Provider.

• Real-time or asynchronous interactions via audio, video, and/or secure data communications.

• Use of output data from medical devices, sound, or video files.

2.5. The electronic systems used in the Services incorporate network and software security protocols to protect the privacy and security of health information, and include measures to safeguard your data against corruption or unlawful access.

2.6. By accepting these Terms of Service, you agree and consent to &you, your Provider, and any contracted Medical Partners communicating with you electronically (including through your account, phone, or by email) regarding your care. You are responsible for monitoring such communications and following treatment recommendations. Neither &you nor any Provider shall be liable for any loss, injury, or claim resulting from your failure to read or act upon these communications.

2.7. You acknowledge that no means of electronic transmission can be guaranteed 100% secure. By using the Services, you agree to electronic transmission of your health and other information, and agree that any information sent or signed electronically shall be deemed equivalent to information provided or signed in writing.

2.8. Any questionnaires, assessments, or treatment recommendations presented on the Platform are for informational purposes only. They are designed to help guide you toward potential treatment options that may be suitable based on the information you provide. Completing a questionnaire or receiving an automated treatment suggestion does not constitute a prescription or medical advice. Final treatment decisions, including prescriptions, are made solely by independent, licensed Medical Professionals after your telehealth consultation. The Provider may approve, modify, or reject any preliminary recommendation.

2.9. Your Provider will obtain your explicit consent to receive telehealth services before each consultation, as outlined in our Telehealth Consent Policy.

3. YOUR RELATIONSHIP WITH &YOU

3.1. &you does not provide medical services. We provide a technology platform that enables you to access independent licensed Providers and pharmacies. All consultations, diagnoses, prescriptions, and dispensing are the sole responsibility of Medical Partners.

3.2. The health and wellness resources made available through the Platform are for informational purposes only and are not a substitute for in-person medical care in all cases, nor are they an indicator of specific results. Decisions about diagnosis and treatment rest solely with you and your Provider.

3.3. By consulting with a Provider or pharmacy through the Platform, you are not entering into a physician–patient relationship with &you. That relationship exists only between you and the Provider or pharmacy.

3.4. Except for direct communications from your Provider, none of the information you receive through the Platform should be considered medical advice.

3.5. &you verifies that Providers hold the licenses or certifications required by law, and may exclude a Provider if we believe they have engaged in inappropriate conduct or misused the Platform.

4. USER ELIGIBILITY

4.1. You must be 18 years or older to use the Platform.

4.2. You are responsible for keeping your account secure. Providing false, inaccurate, or misleading information may result in suspension or termination.

4.3. The Platform and all related Services are strictly limited to users who are physically located within the Philippines at the time of use. All medical consultations, prescriptions, and pharmacy services facilitated through the Platform are provided exclusively by licensed Medical Professionals and pharmacies registered in the Philippines.

4.4. By using the Platform, you certify that you are physically located in the Philippines at the time of consultation. Providers and pharmacies rely on this certification in providing you care. If this certification is found to be false, you agree to indemnify &you, the Providers, and pharmacy partners from any resulting damages, costs, or claims.

4.5. You agree that the Platform may automatically update its software from time to time, and these Terms shall apply to such updates.

5. COMMUNICATIONS

5.1. By using this Platform, you consent to receiving calls, auto-dialed and/or pre-recorded messages, or calls from Us at any time using the telephone number you have provided, subject to the Privacy Policy.

5.2. Your use of this Platform is also your consent to receive communications (e.g., SMS, emails) from Us for purposes that include but are not limited to clarification and marketing.

5.3. If you wish to stop receiving marketing communications, you may send Us an email to that effect at [email protected]. Transactional communications relating to Subscriptions are governed by Section 6.11 and cannot be opted out of without ending the Subscription.

5.4. You may also be contacted by service providers under contract with Us (couriers, pharmacies, payment processors) strictly in furtherance of delivering the Services.

5.5. All communications are governed by our Privacy Policy.

6. SUBSCRIPTIONS, AUTO-RENEWAL & TREATMENT PLANS

6.1 Subscription Services

6.1.1. &you offers certain Services on an automatically renewing subscription basis, including treatment plans, care programs, refill arrangements, membership benefits, pharmacy-facilitated medication plans, and other recurring services made available through the Platform from time to time, whether described as a “Subscription,” “Treatment Plan,” “Plan,” “Program,” or similar term (each, a “Subscription”).

6.1.2. Subscriptions are designed to support continuity of care for ongoing treatments, including but not limited to GLP-1 and other weight management programs, hair regrowth programs, sexual health programs, and other treatment categories offered by &you.

6.1.3. The specific terms of each Subscription — including billing cadence, price, medication or service included, initial term, renewal term, shipment cadence, cancellation cutoff, and any applicable minimum commitment — will be disclosed at checkout before you confirm your purchase. By completing checkout, submitting payment details, and confirming your order, you expressly consent to enrollment in the Subscription and to recurring charges in accordance with the Plan terms disclosed to you.

6.1.4. Subscriptions are personal to you, non-transferable, and for your own use only. You may not resell, repackage, redistribute, share, assign, or otherwise commercialize any medication, product, consultation, prescription, benefit, or service obtained through a Subscription. &you may limit the number of active Subscriptions per individual, household, payment method, or delivery address, and may refuse multiple enrollments where abuse is suspected.

6.1.5. Separate Components. A Subscription may consist of separate components, including access to the Platform, telehealth services provided by Medical Partners, clinical review by licensed Medical Professionals, pharmacy products or services provided by licensed pharmacy partners, delivery services provided by courier partners, customer support, and other administrative or care coordination services. Unless expressly stated otherwise at checkout, delay, cancellation, unavailability, or refund of one component does not automatically require cancellation, refund, or continued provision of any other component, except as required by applicable law.

6.2 Enrollment, Eligibility & Required Disclosures.

6.2.1. Enrollment in any prescription-based Subscription is conditional on (a) completion of all required onboarding steps, questionnaires, disclosures, identity verification, payment authorization, and telehealth consultation requirements; (b) review by a Medical Partner or licensed Medical Professional; (c) a determination by your Provider that you are clinically suitable for the relevant treatment; and (d) issuance of a valid prescription, where required.

6.2.2. Payment, checkout completion, or enrollment request does not guarantee that you will receive any prescription, medication, dosage, refill, treatment, product, or Subscription. All clinical decisions remain solely with the relevant licensed Medical Professional.

6.2.3. If your Provider determines that you are not clinically suitable before any prescription is issued, pharmacy processing begins, medication is allocated, or service is delivered, your initial Subscription charge will be refunded in accordance with these Terms and applicable law, and you will not be enrolled in the applicable prescription-based Subscription.

6.2.4. You must continue to meet all eligibility requirements for the entire duration of your Subscription, including age, identity, location within serviceable areas in the Philippines, accuracy of medical history disclosures, treatment suitability, prescription validity, payment status, and compliance with Provider directions.

6.2.5. Required User Disclosures. You are responsible for providing complete, truthful, accurate, and updated information, including your medical history, current medications, allergies, symptoms, pregnancy status (where applicable), plans to become pregnant or to breastfeed (where applicable), laboratory results, contact details, delivery address, and payment information. You must promptly notify &you and your Provider if any of this information changes during your Subscription, particularly if you become pregnant, suspect pregnancy, or begin breastfeeding while taking medication that may be contraindicated. Failure to provide accurate or updated information may result in delayed processing, suspension, cancellation, non-fulfillment, or termination of your Subscription without refund, except where required by law.

6.3 Auto-Renewal Authorization.

6.3.1. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT PRICE FOR YOUR PLAN, AND THAT YOUR PAYMENT METHOD ON FILE WILL BE AUTOMATICALLY CHARGED ON EACH RENEWAL DATE OR RENEWAL PROCESSING DATE, UNTIL YOU CANCEL IN ACCORDANCE WITH THESE TERMS OR UNTIL THE SUBSCRIPTION IS OTHERWISE PAUSED, SUSPENDED, OR TERMINATED.

6.3.2. You authorize &you, its payment processors, Medical Partners, pharmacy partners, and other authorized service providers, as applicable, to charge your selected payment method for recurring Subscription fees, treatment fees, pharmacy-related amounts, delivery fees, administrative fees, taxes, and other amounts disclosed at checkout or otherwise agreed through the Platform.

6.3.3. Where required by your card network, bank, payment processor, e-money issuer, financing provider, or other payment method provider, this authorization constitutes a continuous payment authority and standing instruction to debit recurring amounts in accordance with these Terms and applicable Bangko Sentral ng Pilipinas regulations.

6.3.4. Your Subscription will continue to renew, and you will continue to be charged, even if you do not use, consume, schedule, complete, or claim all services, consultations, check-ins, benefits, or products included in your Plan during a billing cycle, unless and until you cancel. Unused services, consultations, check-ins, credits, benefits, or access rights do not roll over and have no cash value.

6.3.5. You are responsible for keeping your payment method current and valid. Section 6.9 governs the consequences of failed payments.

6.4 Operational Days, Renewal Processing & Timing Flexibility.

6.4.1. Definition. “Operational Days” means Monday to Friday, excluding Philippine public holidays (regular and special), Company-declared non-operating days, pharmacy closure days, courier non-service days, regional delivery blackout dates, severe weather disruptions, typhoons, flooding, system outages, payment processor or e-money issuer outages, inventory interruptions, and other days when &you, its Medical Partners, pharmacy partners, courier partners, or payment partners are unable to operate in the ordinary course.

6.4.2. Early Charging Limited to Pre-Renewal Date. &you may charge your payment method for an upcoming renewal up to five (5) Operational Days before your scheduled Renewal Date, but not after.

6.4.3. Shipment Timing Flexibility. To support continuity of care, &you may process Provider review, prescription or refill review, pharmacy coordination, inventory allocation, packing, dispatch preparation, courier booking, and shipment before, on, or after your scheduled Renewal Date, by up to five (5) Operational Days in either direction. You agree that such timing adjustments are reasonable and necessary for continuity of care and do not constitute a breach of these Terms.

6.4.4. Estimated Timelines. Renewal Dates, refill dates, dispatch dates, delivery dates, Provider review dates, and customer support response times displayed on the Platform are estimates only. Actual timing may vary due to Provider availability, clinical review requirements, user responsiveness, payment verification, pharmacy processing, medication supply, prescription validity, courier capacity, holidays, weather, force majeure events, or circumstances beyond &you’s reasonable control.

6.4.5. Requests submitted after a cut-off time, on a weekend, on a public holiday, during a courier blackout, during a pharmacy closure, during severe weather disruption, or on a Company-declared non-operating day may be treated as received on the next Operational Day.

6.5 Pricing, Promotional Pricing & Price Changes.

6.5.1. Introductory, promotional, discounted, voucher-based, referral, bundle, or trial pricing applies only for the specific billing cycle, period, product, service, or Plan expressly disclosed at checkout or in the applicable promotion.

6.5.2. Unless otherwise stated, all subsequent renewals will be charged at the then-current standard price for your Plan, together with applicable delivery fees, pharmacy-related amounts, administrative fees, taxes, or other disclosed charges.

6.5.3. Limit on Introductory Pricing. Introductory and promotional pricing is generally limited to one (1) instance per individual, household, payment method, or delivery address. &you reserves the right to refuse, reverse, or claw back introductory pricing where the same individual or household appears to have benefited from it more than once, including through duplicate accounts.

6.5.4. &you reserves the right to change Subscription pricing, Plan inclusions, delivery fees, pharmacy-related charges, administrative fees, available medications, service benefits, renewal terms, or promotional offers at any time.

6.5.5. Continued use of the Subscription, failure to cancel before the effective date, or continued acceptance of Subscription benefits after notice of a price change constitutes acceptance of the updated price or Plan terms. If you do not agree, you may cancel under Section 6.6 before the new price takes effect.

6.5.6. Discounts, vouchers, referral credits, promotional credits, and bundle pricing may not be combined unless expressly stated. They are non-transferable, have no cash value, may be subject to additional conditions, and may be modified, suspended, revoked, or cancelled if &you suspects fraud, abuse, misuse, duplication, resale, or violation of these Terms.

6.6 Cancellation by the Customer.

6.6.1. You may cancel your Subscription at any time through (a) your &you account portal or subscription management page; or (b) by emailing [email protected] from the email address associated with your account with the subject line “Cancel Subscription.”

6.6.2. Cancellation requests must include sufficient information for &you to verify your account and identify the Subscription you wish to cancel. Cancellation requests received through the channels in Section 6.6.1 take effect from the date received, subject to the cutoff in Section 6.6.3. Cancellation requests submitted through unsupported channels (social media, courier messages, third-party platforms, informal messages) may be subject to additional verification and processing delays; where &you receives such a request, we will use reasonable efforts to direct you to an approved channel.

6.6.3. Cancellation Cutoff. Unless a different cutoff is disclosed at checkout, cancellation must be completed at least three (3) Operational Days before the next scheduled renewal processing date to avoid the next renewal charge and shipment preparation.

6.6.4. Because renewal processing may begin before the displayed Renewal Date pursuant to Section 6.4.2, cancellation after the applicable cutoff may not stop the next charge, Provider review, pharmacy processing, inventory allocation, packing, or shipment. In such case, cancellation will take effect from the following billing cycle.

6.6.5. Cancellation prevents future renewals only. Cancellation does not entitle you to a refund for the current billing cycle, does not cancel any shipment that has already been processed, prepared, packed, dispatched, allocated, or handed to a courier, and does not affect any outstanding payment obligation.

6.6.6. Unless required by law or expressly stated in these Terms, Subscription fees are non-refundable once charged, including for partially used billing periods, unused services, unused consultations, missed check-ins, failure to complete required steps, user inactivity, delayed user responses, change of mind, or cancellation after the applicable cutoff.

6.6.7. Treatment of Credits at Cancellation. Any store credits, referral credits, promotional credits, or refund credits standing in your account at the time of cancellation remain available for redemption in accordance with their original terms and expiry, subject to your account remaining in good standing. Cancellation does not extend the validity of any credit.

6.6.8. Address Changes Near Renewal. Address or delivery information changes received within three (3) Operational Days of a scheduled dispatch will, where reasonably possible, take effect for the following cycle. &you will use reasonable efforts to update the next shipment but cannot guarantee a change once pharmacy processing or courier booking has commenced.

6.6.9. Cancellation Does Not Replace Medical Advice. If your Subscription involves prescription treatment, cancellation may interrupt that treatment and may carry clinical risk. You are responsible for consulting your Provider or another qualified healthcare professional before stopping or changing any medication or treatment plan.

6.7 Provider Authority Over Subscriptions.

Section 9 of these Terms establishes the general authority of independent licensed Medical Professionals over all clinical decisions. The following provisions apply that authority to Subscriptions.

6.7.1. Your Subscription is conditional on the continued existence of a valid, active prescription issued by a Medical Partner, where applicable. The Subscription does not vest in you any right to a specific prescription, dosage, refill, or treatment outcome.

6.7.2. Your Provider may, at any time and in their independent clinical judgment, approve, reject, modify, pause, discontinue, or decline to refill your treatment, prescription, dose, frequency, medication, or care plan. Any such clinical decision is binding and is not subject to override by &you, the customer, or any third party.

6.7.3. Your Provider may require follow-up consultations, updated medical questionnaires, laboratory tests, photo submissions, check-ins, adverse-event reporting, identity verification, or other actions before issuing, continuing, modifying, or refilling a prescription. Failure to complete these within a reasonable timeframe may result in delayed processing, declined refills, paused treatment, cancelled shipments, Subscription suspension, or Subscription termination without refund, except where required by law.

6.7.4. If your Provider discontinues or pauses your prescription for clinical safety reasons before a paid shipment has been dispatched, &you may refund or issue store credit for the undispatched portion in accordance with these Terms and applicable law.

6.7.5. No Guarantee of Outcome. No Subscription guarantees any medical outcome, medication availability, dosage, prescription renewal, continued clinical eligibility, uninterrupted treatment, or specific Provider decision.

6.7.6. Dose, Prescription & Treatment-Path Changes. Where your Provider modifies your prescription, dosage, frequency, medication, treatment pathway, or required monitoring, the corresponding cost adjustment will be applied to subsequent shipments and renewals.

6.8 Pharmacy, Medication Supply & Regulatory Limitations.

6.8.1. Medication availability may vary due to pharmacy inventory, manufacturer supply, distribution constraints, cold-chain capacity, importation limits, regulatory restrictions, prescription validity, safety protocols, Provider judgment, or other circumstances outside &you’s control.

6.8.2. &you may modify, suspend, discontinue, substitute (where legally and clinically appropriate), restrict, delay, or cancel any Subscription, medication, dosage, refill, shipment, or Plan due to clinical judgment, regulatory requirements, supply constraints, pharmacy availability, operational limitations, payment issues, suspected misuse, safety concerns, or business reasons.

6.8.3. If a medication, product, dosage, or service becomes unavailable or restricted, &you may, subject to Provider approval and applicable law: (a) coordinate with an alternative licensed pharmacy; (b) offer an alternative medication, dosage, product, Plan, or shipment schedule; (c) delay fulfillment; (d) issue store credit or refund where appropriate; or (e) cancel the affected Subscription or renewal.

6.9 Payment Failures, Suspension & Involuntary Cancellation.

6.9.1. If a recurring payment fails due to insufficient funds, expired card, blocked e-wallet, payment provider issue, chargeback, payment dispute, financing rejection, exceeded credit limit, fraud alert, or other reason, &you may retry the payment method one or more times over a reasonable period, but is not required to do so.

6.9.2. During any failed payment period, your Subscription may be marked as past due, and &you may pause or withhold Provider review, pharmacy coordination, prescription refill processing, shipment preparation, delivery, and access to Subscription benefits until payment is successfully completed.

6.9.3. You are responsible for keeping your payment method information current. &you may notify you of failed charges via email, SMS, in-app message, or account dashboard.

6.9.4. Involuntary Cancellation. If payment cannot be successfully collected within fourteen (14) calendar days of the original Renewal Date, &you may, without further notice, suspend or cancel your Subscription, revoke access to Subscription benefits, cancel pending shipments, and pursue collection of any unpaid amounts.

6.9.5. You remain responsible for all amounts incurred through your account, including recurring Subscription charges, renewal charges processed before cancellation cutoffs, pharmacy-related fees, courier fees, failed delivery fees, redelivery fees, payment processor fees, bank charges, chargeback fees, and other costs caused by inaccurate information, delayed responses, failed payments, misuse, or breach of these Terms.

6.10 Shipping & Delivery for Subscriptions.

General shipping and delivery rules, including courier list, timelines, failed-delivery handling, and FDA-related restrictions, are set out in Section 8 (Shipping & Delivery). The following provisions apply that Section to Subscriptions.

6.10.1. For Subscription shipments, pharmacy preparation and courier delivery windows are measured from the date the renewal charge clears, the applicable prescription or refill is approved, and the pharmacy receives the complete refill order — not necessarily from the displayed Renewal Date.

6.10.2. Customers outside Metro Manila, in provincial areas, or in remote serviceable areas should expect that delivery may not coincide exactly with the displayed Renewal Date. To preserve treatment continuity, &you may process, prepare, or dispatch a Subscription shipment in accordance with Section 6.4.3.

6.10.3. Cold-Chain and Temperature-Sensitive Products. Certain Subscription medications (including, without limitation, GLP-1 injectables) require temperature-controlled handling, specific delivery windows, and prompt receipt. You are responsible for being available to receive such products, providing an accurate and accessible delivery address, and storing the medication appropriately upon receipt in accordance with the dispensing pharmacy’s instructions. If a temperature-sensitive product is compromised due to user-caused delivery failure, refusal, delay, or incorrect delivery information, &you may decline refund, replacement, or redelivery requests to the fullest extent permitted by law.

6.11 Notices, Reminders & Subscription Communications.

6.11.1. &you may, but is not required to, send reminders before each renewal, notifications of failed charges, shipment confirmations, payment confirmations, prescription refill prompts, clinical check-in requests, Plan updates, and other Subscription-related communications.

6.11.2. You are responsible for keeping your email address, mobile number, account information, delivery address, and payment information current and for monitoring communications from &you. Failure to receive or read a notice (due to spam filtering, blocked numbers, outdated contact information, inactive accounts, device issues, or third-party platform issues) does not relieve you of your payment obligations, cancellation obligations, treatment responsibilities, or compliance with these Terms.

6.11.3. Transactional vs. Marketing Communications. The general consent to communications in Section 5 applies to Subscriptions. By enrolling in a Subscription, you separately and expressly consent to receive transactional communications relating to your Subscription (renewal reminders, shipment confirmations, payment confirmations, payment failure notices, prescription refill prompts, clinical check-in requests, consent-management notifications) by email, SMS, push notification, in-app message, or account dashboard. Transactional communications are necessary for the administration of your Subscription, treatment, payment, pharmacy coordination, and delivery, and cannot be opted out of without ending the Subscription. The marketing opt-out in Section 5.3 applies to marketing communications only.

6.12 Disputes, Chargebacks & Bad-Faith Cancellations.

6.12.1. If you have any concern with a Subscription charge, renewal, shipment, or billing issue, you agree to first contact &you at [email protected] and allow &you a reasonable opportunity to review and resolve the matter.

6.12.2. Chargebacks, reversals, or payment disputes initiated in bad faith, without first contacting &you, after medication has already been dispensed, shipped, delivered, accepted, or used, or in connection with false, incomplete, or misleading claims may result in (a) immediate suspension or termination of your Subscription and account; (b) cancellation of pending orders or shipments; (c) refusal of future transactions; (d) recovery of unpaid amounts and reasonable costs; and (e) reporting to the relevant payment provider, regulator, or authority where appropriate.

6.12.3. &you reserves the right to recover from you any reasonable costs incurred in connection with unjustified chargebacks, failed payments, payment disputes, collection efforts, payment processor fees, and related administrative costs, to the fullest extent permitted by law.

6.13 Termination by &you.

6.13.1. In addition to any other rights under these Terms, &you may suspend, modify, pause, restrict, or terminate your Subscription, Plan, account, order, renewal, refill, or shipment at any time, with or without prior notice, where:

(a) you breach these Terms, the Privacy Policy, or any applicable policy;

(b) your Provider declines to issue, continue, modify, or refill the relevant prescription;

(c) your Provider determines that ongoing treatment is no longer clinically appropriate;

(d) you fail to complete required check-ins, consultations, laboratory tests, questionnaires, verification steps, or Provider instructions;

(e) there is suspected fraud, identity misuse, payment abuse, chargeback abuse, resale, diversion, or unauthorized commercial use;

(f) you provide false, incomplete, outdated, or misleading information, including medical, identity, location, delivery, or payment information;

(g) payment cannot be verified or collected;

(h) the medication, product, dosage, Plan, pharmacy, courier, or service becomes unavailable;

(i) continued fulfillment may violate applicable law, regulation, FDA requirement, pharmacy policy, Provider judgment, safety protocol, or regulatory directive;

(j) continued service becomes impracticable due to operational, commercial, regulatory, safety, supply, or business reasons; or

(k) &you discontinues the relevant Plan, product, medication, program, or Service.

6.13.2. Where &you terminates a Subscription for reasons not attributable to you, &you may provide a prorated refund, store credit, replacement service, Plan adjustment, or other remedy for any prepaid amounts covering undelivered future periods, calculated in good faith and subject to applicable law.

6.13.3. Where termination is due to your breach, failed payment, inaccurate information, non-compliance, misuse, fraud, chargeback abuse, failure to complete required steps, or other cause attributable to you, no refund will be due, and any outstanding amounts remain payable.

6.13.4. Subscriber Incapacity. In the event of your death, incapacity, or other circumstance preventing you from managing your Subscription, your authorized representative, executor, or attorney-in-fact may request cancellation by emailing [email protected] with appropriate verifying documentation. &you reserves the right to require reasonable proof of authority before acting on such requests.

6.14 Force Majeure & Emergency Service Limitations.

6.14.1. Force Majeure. The force majeure provisions in Section 15.4 and Section 8 (Shipping & Delivery) apply to Subscriptions. In addition, where a force majeure event delays a scheduled renewal, shipment, or refill, &you may adjust the next Renewal Date, shipment cadence, or Plan timeline accordingly. No refund will be due solely on the basis of such a delay, provided the medication or service is ultimately delivered within a reasonable period, except where required by applicable law.

6.14.2. No Emergency Service. The emergency disclaimer in Section 11.1 applies to all Subscriptions. Customer support, Provider review, refill review, pharmacy coordination, and delivery coordination are subject to Operational Days and partner availability. If you experience a medical emergency, severe side effects, or urgent symptoms, you must seek immediate in-person medical care or contact local emergency services.

6.15 Data Privacy & Tax Documentation.

6.15.1. Data Privacy. Continuous payment authority, recurring billing, and ongoing treatment plans involve the processing of personal data — including sensitive personal information — on a continuing basis. &you processes this data under one or more lawful bases recognized by the Data Privacy Act of 2012 (Republic Act No. 10173), including the performance of your contract with &you and its partners, compliance with legal and regulatory obligations (including FDA pharmacovigilance and BIR record-keeping), legitimate interests in fraud prevention, security, and service operation, and your consent where required for sensitive personal information and marketing. Processing of personal data is governed in detail by our Privacy Policy. You retain all data subject rights under the Data Privacy Act and may exercise them as set out in the Privacy Policy.

6.16 Survival.

6.16.1. Provisions relating to payments due, refunds, chargebacks, failed payments, cancellation cutoffs, pharmacy and delivery limitations, medical disclaimers, Provider authority, data privacy, tax documentation, limitation of liability, indemnity, dispute resolution, governing law, and any other provisions that by their nature should survive cancellation, expiration, or termination shall continue to apply after your Subscription ends.

7. PAYMENTS, CANCELLATIONS, AND REFUNDS

Your payments to &you may include fees charged by Medical Partners for medical services and/or pharmacy services, which &you collects on their behalf.

7.1. All transactions are processed through secure, PCI-DSS compliant third-party gateways. Accepted payment methods include Visa, Mastercard, Amex, GCash, Maya, QRPH, BillEase, and bank deposits in Philippine Peso (PHP). &you does not store complete card details. When you book a consultation or check out an approved prescription, your chosen payment method will be charged immediately. In some cases, when you complete a questionnaire and request a consultation, a temporary authorization hold may be placed on your payment method to secure your appointment. This hold is not a final charge, and the actual amount collected will be adjusted after your telehealth consultation to reflect the treatment and/or prescription approved by your Provider. If your Provider determines that you are not suitable for treatment or prescribes a different option than initially suggested, the hold will either be released or updated accordingly. While using any payment method, you acknowledge that payment failures caused by your bank, lack of authorization, exceeded limits, or declines are outside our control, and disputes regarding charges must first be raised with your issuing bank. You further acknowledge that your bank or payment provider may impose additional charges such as cross-border, administrative, or processing fees, which are not controlled by &you. Amounts charged by &you are limited to the prices displayed on our website and at checkout; any additional fees applied by your bank remain solely between you and your issuing institution. Where you have enrolled in an automatically renewing Subscription under Section 6, you expressly authorize &you, its payment processors, Medical Partners, pharmacy partners, and other authorized service providers to charge your payment method on each Renewal Date or Renewal Processing Date in accordance with the Plan terms disclosed at checkout, including any adjustments resulting from Provider-approved changes to your prescription, dosage, treatment plan, shipment cadence, or Plan selection.

7.2. All prices are displayed in Philippine Pesos (PHP) and include applicable taxes unless otherwise noted. Prices are subject to change at any time without prior notice, but the amount charged will always be the price shown at the time of booking.

7.3. You may cancel a one-time booking for a full refund at any time before your scheduled medical consultation begins. Once a consultation has started, a prescription has been approved, pharmacy processing has begun, medication has been allocated, or a shipment has been processed, payments for one-time bookings become non-refundable, except where required by law or expressly approved by &you. Cancellation, refunds, and pauses for Subscriptions are governed exclusively by Section 6 of these Terms.

7.4. If your Provider determines that you are not a suitable candidate for treatment, your order will be cancelled and refunded in full. If your order cannot be fulfilled due to medication unavailability at partner pharmacies, or if a technical issue results in duplicate billing, you will also receive a full refund. If your Provider approves your prescription, your payment becomes strictly non-refundable, except where required by law. All refunds are credited back to your original payment method. If that method is no longer valid, you must coordinate directly with your bank or payment provider. Refunds are typically processed by &you within 24–72 hours, though depending on your bank, it may take 5–10 business days for funds to appear in your account. Please note that while &you refunds the full amount remitted, your bank may retain or apply additional fees beyond the control of &you. For Subscriptions, refunds are governed by Sections 6.6, 6.7, 6.9, and 6.13. Partial refunds are not offered for unused portions of an active Subscription billing cycle, except as expressly provided in Section 6 or required by applicable law.

7.5. Approved refunds are processed within 24–72 hours by &you. Depending on your bank or payment provider, refunds may take 5–10 business days to reflect in your account. Any supplemental fees charged by your bank are not determined by &you and may not be reversed as part of the refund process.

7.6. &you reserves the right to cancel consultations, orders, or shipments if fraudulent or suspicious activity is identified, if user information is incomplete or inaccurate, or if regulatory or supply issues prevent us from fulfilling your request. If cancellation is initiated by &you for reasons not attributable to you, you will receive a full refund.

7.7. By using our Platform, you agree not to initiate chargebacks or payment disputes without first contacting us at [email protected] to resolve the matter. Chargebacks made in bad faith or without reasonable cause may result in suspension or permanent termination of your account. For Subscription-related payment disputes, chargebacks, failed payments, and bad-faith cancellations, Section 6.12 also applies.

8. SHIPPING & DELIVERY

8.1. Shipping is available nationwide within the Philippines and is initiated only after you have completed a mandatory medical consultation and a licensed Medical Professional has approved your order. Medication fulfillment and delivery are the sole responsibility of independent, licensed pharmacy partners designated by your Medical Partner. &you does not list, sell, store, or ship medications directly.

8.2. Once you place an order, you must first complete your consultation. If approved, your prescription is sent to a licensed pharmacy for processing and preparation, typically within twenty-four (24) to forty-eight (48) hours. After the pharmacy has prepared your order, it is handed to a courier partner for delivery, and you will receive a shipping notification with a tracking number. Estimated delivery timelines, measured from the date of dispatch, are:

• 1–3 business days within Metro Manila

• 3–5 business days for provincial areas

These timelines are estimates only and may be affected by circumstances beyond our control, including severe weather, access restrictions, courier network disruptions, or peak seasonal demand.

8.3. Deliveries are handled exclusively by independent third-party couriers, including but not limited to Grab, Lalamove, JRS Express, LBC, and J&T Express. Courier assignment may vary depending on your location and courier availability. Couriers may attempt delivery more than once, and if delivery fails due to an incomplete or incorrect address, receiver unavailability, or access restrictions, you may be required to arrange redelivery or pickup. In such cases, additional fees may apply.

8.4. Risk of loss transfers to you upon delivery to the address you provided. Title to any prescription medication passes directly from the dispensing pharmacy to you upon delivery. &you is not a dispensing pharmacy and does not store, sell, or ship medications at any time.

8.5. You are required to inspect your parcel upon receipt. If there are any issues such as an incorrect item, damaged packaging, or missing items, you must notify us within twenty-four (24) hours of delivery so that we may coordinate with the dispensing pharmacy or courier. Failure to report issues within this timeframe may limit our ability to resolve your concern.

8.6. Orders will not be shipped outside the Philippines. Certain medications may also be subject to regulatory restrictions that limit delivery to certain regions or require additional verification steps or documentation before dispatch.

8.7. If a package is returned due to failed delivery attempts, incorrect addresses, or refusal to accept the parcel, you may be charged additional reshipping fees. If you fail to claim or accept your package within the courier’s designated holding period, your order may be canceled without refund, except where prohibited by law.

8.8. Neither &you nor its partners shall be liable for delays or failures to deliver caused by events beyond reasonable control, including but not limited to natural disasters, strikes, government restrictions, courier disruptions, or other force majeure events.

8.9. All shipments comply with the Philippine Food and Drug Administration (FDA) regulations and local pharmacy laws. Certain medications may require additional verification, approvals, or documentation before they can be released or dispatched.

8.10. For Subscription shipments, the timelines in this Section apply to each renewal cycle. Pharmacy preparation and courier delivery windows are measured from the date the renewal charge clears, the applicable prescription or refill is approved, and the pharmacy receives the complete refill order. To preserve treatment continuity, &you may process, prepare, or dispatch a Subscription shipment in accordance with Section 6.4.3.

9. MEDICAL PARTNERS & PROFESSIONAL STANDARDS

9.1. All medical services facilitated through the Platform are provided exclusively by independent, licensed medical groups (“Medical Partners”) and their professionals. The actual contract for care is between you and the Medical Partner; &you is not a party to that contract and does not interfere with the professional judgment of Providers.

9.2. Every medical professional delivering services on the Platform undergoes a rigorous vetting process before being allowed to consult with patients. This process includes verification of medical licenses, credentials, and good standing with the relevant Philippine regulatory bodies. Only those who meet these requirements are permitted to provide care, ensuring that patients are connected only with qualified and credentialed experts.

9.3. All consultations, diagnoses, prescriptions, and dispensing activities are performed solely by licensed Medical Partners and dispensing pharmacies. &you itself does not practice medicine. Our role is limited to providing the technology platform that facilitates these services.

9.4. Medications, when prescribed, are filled and supplied by licensed pharmacies operating independently of &you. Questions related to dispensing, packaging, or labeling must be directed to the dispensing pharmacy.

9.5. Orders are transported exclusively by independent third-party couriers. &you does not control courier operations and is not responsible for handling or delivery delays beyond our control. Details regarding delivery timelines and courier responsibilities are set out in Section 8.

9.6. Payments are processed through independent third-party payment processors. By completing a purchase, you authorize these processors to charge your selected payment method. &you does not store complete card details and is not responsible for banking or processing failures outside its control.

9.7. Providers are fully and independently responsible for the medical services they deliver, including compliance with all applicable laws, regulations, and ethical standards. &you does not supervise or control clinical decision-making, does not guarantee medical outcomes, and accepts no responsibility for treatment results. Providers may, at their discretion, determine that telehealth is not appropriate for your care and may decline to provide services through the Platform.

9.8. &you does not endorse or recommend any specific Provider, pharmacy, or treatment. Any ratings, testimonials, or feedback displayed on the Platform are subjective reflections of individual user experiences and shall not be construed as a guarantee of quality or outcomes.

9.9. If you have concerns about the conduct or services of a Provider or pharmacy, you may contact [email protected]. Complaints will be reviewed by &you and, where appropriate, referred to the relevant regulatory authority. &you may suspend or remove Providers who fail to maintain professional standards or compliance with applicable laws and policies.

9.10. All Providers and pharmacies participating on the Platform are required to be duly licensed and registered in the Philippines and must maintain current licensure at all times. &you requires and retains updated documentation of each Provider’s and pharmacy’s licenses, certifications, and registrations, which must be renewed and verified periodically as a condition of continued participation. Providers and pharmacies are subject to ongoing audits, compliance checks, and verification procedures to ensure full adherence to Philippine medical, pharmacy, and telehealth regulations.

9.11. In addition to licensing requirements, all Providers must complete mandatory training and onboarding specific to the treatments, clinical workflows, and telehealth protocols offered through the Platform. This ensures consistent standards of safety and quality in patient care. Providers are also required to participate in continuing education and treatment-specific updates in order to remain active on the Platform.

9.12. Any Provider or pharmacy that fails to maintain valid licensure, comply with applicable regulations, or meet &you’s quality standards will be immediately suspended or removed from the Platform.

9.13. To the fullest extent permitted by law, &you shall not be liable for medical advice, treatment decisions, or clinical outcomes provided by independent Providers or pharmacies. Any claims, disputes, or malpractice issues must be addressed directly with the Provider or pharmacy responsible for the care.

9.14. Upon reasonable request, &you may provide copies or proof of current licenses, certifications, and regulatory approvals for Providers and pharmacies participating on the Platform. This information is available to ensure transparency and to confirm compliance with Philippine medical, pharmacy, and telehealth regulations.

10. USER OBLIGATIONS

10.1. As a User, you agree not to engage in any activity that is unlawful, fraudulent, or malicious. You shall not:

• Violate these Terms of Service or any applicable laws or regulations.

• Publish, post, or disseminate information that is false, inaccurate, or misleading.

• Threaten the unity, integrity, defense, or security of the Philippines.

10.2. You shall not, nor allow third parties on your behalf to:

• Attempt to copy, reproduce, reverse engineer, disassemble, or decompile the Platform.

• Use any robot, spider, scraper, or other automated device to access, acquire, or monitor any portion of the Platform.

• Probe, scan, or test the vulnerability of the Platform or any network connected to it.

10.3. Without limiting the above, you further agree not to:

• Upload, distribute, or transmit viruses, malware, corrupted files, or any other harmful software.

• Attempt to gain unauthorized access to accounts, servers, or networks connected to the Platform.

• Impersonate any person or entity, or falsely state or misrepresent your affiliation with another person or entity.

• Post or transmit unlawful, defamatory, obscene, pornographic, offensive, harassing, or hateful content.

• Publish or share content that infringes on third-party intellectual property rights, privacy rights, or proprietary rights.

• Use the Platform to solicit or engage in money laundering, gambling, or other unlawful transactions.

• Use deep links, bots, spiders, or other methods to bypass navigation or extract Platform data.

• Collect or store information about other Users without their consent.

• Engage in activities that disrupt, damage, or impair the Platform’s functionality or the experience of other Users.

10.4. Users may upload or submit information and content through the Platform. Any content you provide must be truthful, accurate, lawful, and not misleading. By submitting content, you grant &you a non-exclusive, worldwide, royalty-free, and perpetual license to use, store, and process that content in accordance with our Privacy Policy. You remain solely responsible for ensuring the legality, reliability, and appropriateness of the information you provide.

10.5. &you reserves the right, but not the obligation, to monitor user activity and submitted content for compliance with these Terms. Where we reasonably believe that illegal, harmful, or non-compliant conduct has occurred, we may remove or restrict such content, suspend or terminate user accounts, and, if appropriate, report the matter to the relevant authorities.

10.6. You agree that &you may disclose your information, including your identity and account data, to regulators, law enforcement agencies, or other competent authorities if required by law or in response to lawful governmental requests. Such disclosures will be made in accordance with our Privacy Policy and applicable legal obligations.

10.7. You are solely responsible for your use of the Platform, including:

• Ensuring that your use complies with all applicable laws.

• The accuracy of the information you provide.

• Any consequences resulting from your reliance on content or services accessed via the Platform.

11. DISCLAIMERS & LIMITATION OF LIABILITY

11.1. By using the Services, you acknowledge and agree to the following:

• Telehealth Format: You consent to receive healthcare services via telehealth technologies where you and the Medical Professional are not in the same physical location.

• Health Information Disclosure: During consultations, your health history and personal information may be discussed electronically.

• Risks of Treatment: Possible risks and side effects vary by treatment or medication. Detailed information will be provided with each prescription.

• Consent to Care: By proceeding, you confirm that you understand these risks and explicitly agree to follow the Provider’s instructions.

• Accuracy of Information: You confirm that all information you provide is accurate and complete. Incorrect or incomplete information may affect the safety or suitability of your treatment.

• Benefits and Limitations: Telehealth can improve access and convenience, but may involve insufficient image or audio quality affecting clinical decisions; equipment or connectivity failures causing delays or requiring follow-up; and lack of access to full health records, which may rarely result in adverse interactions or allergic reactions.

• Data Privacy: Although strong safeguards are applied, electronic systems cannot be 100% secure. Rare breaches of privacy or confidentiality may occur.

• Not a Replacement for In-Person Care: Telehealth does not replace a relationship with a primary care physician. You must seek in-person or emergency care when symptoms are severe or when directed to do so by a Provider.

• Emergency Disclaimer: The Platform is not for emergencies. If you are experiencing life-threatening symptoms, call local emergency services immediately.

• Provider Discretion: Providers may determine that telehealth is not appropriate for all of your needs and may decline or redirect your care.

11.2. &you provides a technology platform only. We do not provide medical advice, diagnosis, or treatment. All care is provided solely by independent licensed Providers.

11.3. &you does not endorse or recommend any specific Providers, pharmacies, medications, or treatments. Any reliance on Provider advice is at your own risk.

11.4. The Platform and its content are provided strictly on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. This includes, but is not limited to:

• Accuracy, reliability, or completeness of information.

• Availability, security, or error-free operation.

• Merchantability, fitness for a particular purpose, or non-infringement.

11.5. To the maximum extent permitted by law, neither &you nor its affiliates, officers, directors, employees, contractors, or partners shall be liable for any:

• Indirect, incidental, consequential, punitive, or special damages.

• Loss of data, profits, business, reputation, or goodwill.

• Errors, omissions, delays, or service interruptions.

• Unauthorized access to or alteration of your transmissions or data.

• Acts, omissions, or negligence of independent Providers, pharmacies, or couriers.

11.6. By using the Services, you accept that telehealth carries inherent risks, including:

• Possible incomplete or delayed diagnosis.

• Limited ability to conduct physical examinations.

• Delays due to technical or equipment failures.

• Potential exposure of personal data despite safeguards.

11.7. Any reliance on information obtained through the Platform — other than direct communications from your Provider — is at your own risk.

12. INDEMNIFICATION

12.1. By using the Platform, you agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, contractors, agents, and partners from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) that arise out of or relate to your actions. This includes, without limitation:

• Your breach or violation of these Terms of Service, our Privacy Policy, or any other referenced policy.

• Your violation of applicable laws, regulations, or third-party rights, including intellectual property rights, privacy rights, or data protection obligations.

• Your negligence, misconduct, misrepresentation, fraud, or unlawful acts in connection with your use of the Platform.

• Any content or information you submit, upload, transmit, or make available through the Platform, including claims of defamation, infringement, or violation of rights.

• Your use of medical advice, prescriptions, products, or services obtained via the Platform, including disputes or claims against Providers, pharmacies, or couriers.

• Your failure to provide accurate, complete, or truthful information (including medical history and payment details).

• Any dispute or claim between you and a third party arising from your use of the Platform.

12.2. &you reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate fully with such defense and not to settle any claim without &you’s prior written consent.

12.3. These indemnification obligations shall survive the termination or expiration of these Terms of Service and your use of the Platform.

13. BREACH OF TERMS

13.1. If you fail to comply with these Terms of Service, your rights under this Agreement may automatically terminate without prior notice. &you reserves the right to restrict, suspend, or permanently terminate your access to the Platform at our sole discretion.

13.2. Grounds for suspension or termination include (but are not limited to):

• Violation of these Terms or any applicable law or regulation.

• Fraud, misrepresentation, or abusive conduct, including misuse of payment systems or chargebacks.

• Providing false, incomplete, or misleading information, whether medical, personal, or payment-related.

• Attempting to interfere with or disrupt the Platform, its systems, or other users.

• Activities that could harm the Company, its partners, or its reputation.

13.3. Consequences of suspension or termination may include:

• Immediate deletion or restriction of your account, including your content and history, except where data retention is required by law or regulation.

• Survival of any outstanding payment obligations, which remain enforceable after termination.

• No liability on the part of &you for damages or losses you incur as a result of the termination.

13.4. In cases of suspected fraud, abuse, or unlawful activity, &you reserves the right to:

• Disclose your information to law enforcement, regulators, financial institutions, or other relevant parties as required by law.

• Pursue legal remedies, including damages, injunctive relief, or enforcement of rights.

13.5. The suspension or termination of your account does not limit &you’s right to seek any other remedies available under law, equity, or contract.

14. NO WAIVER

14.1. Our failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of our rights.

14.2. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

14.3. Any waiver must be in writing and signed by an authorized representative of the Company to be legally effective.

15. MISCELLANEOUS

15.1. If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions will continue in full force and effect. If a provision is partly unenforceable, it shall be enforced to the maximum extent permitted.

15.2. These Terms, together with the Privacy Policy, Refund & Return Policy, Shipping & Delivery Policy, and Telehealth Consent Policy, constitute the entire agreement between you and the Company regarding the Platform and supersede any prior agreements, understandings, or representations.

15.3. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time to an affiliate, subsidiary, successor, or acquirer.

15.4. The Company shall not be held liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, strikes, wars, government restrictions, power outages, telecommunications failures, pandemics, courier disruptions, FDA enforcement actions, supply chain disruptions, manufacturer shortages, cold-chain capacity limits, importation or distribution restrictions, or payment processor outages.

15.5. Section titles and headings in these Terms are for convenience only and have no legal or contractual effect.

15.6. Any provisions of these Terms that, by their nature, should survive termination (including, but not limited to, indemnification, disclaimers, limitations of liability, governing law, and dispute resolution) shall survive termination or expiration.

15.7. These Terms are not intended to confer any benefit on any third party, except as expressly stated.

15.8. These Terms are drafted in English. If translated into another language, the English version shall prevail in case of conflict.
